Terms of Service

1. Acceptance of Terms

By accessing or using Planz, including the website, web application, mobile application, AI-powered features, landing pages, the Vendor Marketplace and related products (collectively, the “Services”), you agree to be bound by these Terms of Service (the “Terms”).

These Terms are a binding agreement between you and Planz (as defined below). If you do not agree to these Terms, please do not access or use the Services.

2. Definitions

In these Terms:

“Planz”, “we”, “us” means VITEX VIETNAM SOFTWARE JOINT STOCK COMPANY, a company incorporated under the laws of Vietnam, with its registered address at 12th Floor, Song Da 1 Building, Lane 165 Cau Giay Street, Cau Giay District, Hanoi, Vietnam, the operator of the Planz platform.

“User”, “you” means any individual or organization that accesses or uses the Services.

“Content” means any text, images, data, documents or other materials uploaded, submitted or posted through the Services, including event information, guest lists, landing pages and AI-generated outputs.

“Key” means a unit of paid access purchased by a User, as described in Section 9 (Payments and Plans).

“Vendor” means a third-party service provider listed on, or whose information is made available through, the Vendor Marketplace.

“Paddle” means Paddle.com and its affiliated legal entities, which act as our online reseller and merchant of record (the legal seller) for orders processed through Paddle.

3. About Planz

Planz is an AI-assisted event platform that helps users plan, organize, manage and run events, including but not limited to:

  • Weddings
  • Corporate events
  • Conferences
  • Festivals
  • Open events
  • Private events
  • Sports tournaments

Planz provides tools for event management, task management, list building, vendor search, landing page creation, AI assistance and service connections.

4. Eligibility

To use the Services, you must:

  • Be at least 15 years old. If you are between 15 and under 18 years old, you may use the Services only under the supervision and with the consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.
  • Have the legal capacity to enter into a binding contract under applicable law, or have the consent of a parent or legal guardian where required.
  • Not be a person prohibited from using the Services under the laws of Vietnam or any other applicable law.

If Planz discovers that a User under 15 years old, or a User aged 15 to under 18 without appropriate consent from a parent or legal guardian, has created an account, Planz has the right to suspend or terminate that account.

5. User Accounts

To access certain features, you may need to create an account.

You agree to:

  • Provide accurate and complete information.
  • Keep your login credentials secure.
  • Be responsible for all activity that occurs under your account.
  • Notify Planz immediately if you become aware of any unauthorized access.

Planz has the right to suspend or terminate accounts that violate these Terms.

6. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose.
  • Infringe the intellectual property or other rights of any person.
  • Upload malicious code, viruses or harmful content.
  • Attempt to gain unauthorized access to the platform, or scan or test the platform for security vulnerabilities.
  • Collect or extract data from the Services using automated tools (scraping) without our prior written permission.
  • Interfere with the operation of the Services.
  • Impersonate any other individual or organization.
  • Use the platform to distribute spam or fraudulent content.

Planz may remove content or restrict access if it detects any of the above conduct.

7. AI Features

Planz provides AI-assisted features to help users plan and manage events.

7.1 Nature of AI-Generated Outputs

You acknowledge that:

  • AI-generated content is for suggestion purposes only.
  • AI responses may contain inaccurate or incomplete information.
  • Users are responsible for reviewing and verifying all AI-generated content before using it.
  • Planz does not guarantee the accuracy, completeness or suitability of AI-generated content.

7.2 Data You Enter

You are responsible for the requests (prompts) and information you submit to AI features, and you confirm that you have the right to submit such information, including personal data of guests, team members or other third parties. Data you enter through AI features (such as event descriptions, guest information and budget figures) may be processed by Planz’s AI service provider partners solely to generate the requested outputs, as further described in our Privacy Policy.

7.3 Outputs and Right of Use

As between you and Planz, and to the extent permitted by applicable law, you may use AI-generated content for your events and projects, subject to these Terms. Outputs may be similar to outputs generated for other users, and Planz does not guarantee that outputs do not contain third-party rights.

7.4 Prohibited Conduct When Using AI Features

You may not use AI features to create, request or distribute:

  • Unlawful content.
  • Sexual content depicting real people without their consent, or deepfakes intended to deceive or defraud real people.
  • Hateful or disturbing content.
  • Malicious code or malware.
  • Content that discloses other people’s private personal information (doxxing).
  • Fraudulent or deceptive content.

You may not attempt to bypass or circumvent the safeguards of the AI features (for example, “jailbreaking”).

7.5 Not Professional Advice

AI-generated content, including budgets, schedules and vendor suggestions, is general information only and is not legal, financial, tax or other professional advice. Do not rely on it to make such decisions without review by a qualified professional.

7.6 Content Moderation

We may filter, refuse or delete requests, outputs or content that violate these Terms, and may suspend or terminate accounts in cases of repeated or serious violations.

8. Landing Pages and Uploaded Content

Users may create and publish event information landing pages through Planz.

You are responsible for the content you upload. You must:

  • Ensure your content complies with applicable law.
  • Obtain all necessary licenses for images, brand marks, logos and other materials.

Planz may remove content that violates these Terms or the law.

9. Payments and Plans

Some Services may require payment.

9.1 Plans

Planz offers a free trial plan and paid plans: Single Purchase (1 Key), 10-Key Pack and an Annual Plan for organizations, as described on the Planz Pricing page. Unless otherwise stated at the time of purchase, one Key entitles you to manage one event according to the features of the applicable plan.

The Annual Plan is valid for twelve (12) months from the date of activation and does not renew automatically. The plan expires at the end of its term unless you purchase a new term or agree to renew with us in writing.

9.2 Tournament Fees

When Planz supports you in creating and managing a sports tournament or similar event, a fixed fee per tournament is charged, as shown at the time of purchase. Payments are processed and recorded in Planz’s payment records, and a valid payment confirmation will be provided to the paying User.

9.3 Payment Processing and Merchant of Record

Orders processed through Paddle are sold by Paddle.com, which acts as our reseller and merchant of record. For those orders, Paddle handles payments, taxes, invoicing and refunds, and your purchase remains subject to Paddle’s buyer terms, including provisions on payment, invoicing, taxes and refunds.

Other payments may be processed through payment gateways. In all cases:

  • Prices may change from time to time; changes will not affect Keys or plans you have already purchased.
  • Planz does not store full payment card details.
  • All purchases are subject to applicable taxes and fees.
  • If a payment fails or is reversed (for example, through a chargeback), Planz may suspend access to the corresponding purchases until the issue is resolved.

9.4 Refunds

Refunds are governed by our Refund Policy, which forms part of these Terms. For orders processed through Paddle, refund requests are handled by Paddle in accordance with Paddle’s Refund Policy and Buyer Terms. Nothing in these Terms limits your rights to a refund or other rights under applicable law.

10. Vendor Marketplace

Planz may provide access to vendor listings and suggestions.

Planz:

  • Does not guarantee the quality of Vendors’ services.
  • Is not a party to any agreement between Users and Vendors.
  • Is not responsible for disputes, delays, damages or failures arising from working with Vendors.

Users should evaluate Vendors themselves before entering into any agreement.

11. Intellectual Property

The following remain the exclusive property of Planz or its licensors:

  • Software
  • Designs
  • Logos
  • Trademarks
  • Content provided by Planz
  • AI-related information

You may not, without prior written permission:

  • Copy
  • Modify
  • Decompile (reverse engineer)
  • Distribute
  • Resell

any part of the Services.

12. User Content

You retain ownership of the content you create for your events.

When you submit Content, you grant Planz a non-exclusive, worldwide, royalty-free license to:

  • Store
  • Process
  • Display
  • Reproduce

that Content solely for the purposes of operating and improving the Services.

If you believe that any Content on the Services (including a User’s event landing page) infringes your intellectual property rights, please send a written notice to contact@planz.ai, including:

  • Identification of the content you believe is infringing and its location on the Services.
  • Your contact information.
  • A statement that you have a reasonable basis to believe the use is unauthorized.
  • A statement, made under penalty of perjury (or the equivalent under local law), that the information in your notice is accurate.

Planz will review valid notices and may remove or disable access to the reported content during the review period.

14. Availability of the Services

Planz strives to provide stable Services but does not guarantee continuous, uninterrupted or error-free availability.

The Services may be temporarily unavailable due to:

  • Maintenance
  • System upgrades
  • Technical incidents
  • Circumstances beyond our control

15. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without any warranties, whether express, implied or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose and non-infringement of third-party rights. Planz does not warrant that the Services will be error-free, completely secure or always available for use.

16. Limitation of Liability

To the maximum extent permitted by law, Planz will not be liable for:

  • Indirect damages
  • Incidental damages
  • Consequential damages
  • Loss of profits
  • Loss of business opportunities
  • Loss of data

arising from the use of the Services.

To the extent permitted by applicable law, Planz’s total liability arising out of or relating to these Terms or the Services will not exceed the total amount you actually paid for the Services (including amounts paid through Paddle).

Users use the Services at their own risk.

17. Indemnification

You agree to indemnify and hold harmless Planz, its officers, employees and affiliates from any claims, damages, liabilities and costs (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your Content; or (c) your use of the Services in violation of applicable law or third-party rights.

18. Suspension and Termination

Planz may suspend or terminate your access to the Services if:

  • You seriously breach these Terms, or repeatedly or seriously breach our policies.
  • A payment for your account is not made, fails or is reversed.
  • We detect security risks or fraudulent conduct.
  • The law requires it.

You may stop using the Services at any time. Refunds (if any) are handled in accordance with Section 9.4 and the Refund Policy.

19. Survival After Termination

The sections relating to Intellectual Property, User Content, Copyright and Intellectual Property Infringement Complaints, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law will continue to apply after these Terms or your account are terminated.

20. Privacy

Your use of Planz is also governed by our Privacy Policy.

By using the Services, you acknowledge and agree to our Privacy Policy.

21. Force Majeure

Planz will not be liable for any delay or failure to perform its obligations under these Terms if the delay or failure arises from circumstances beyond Planz’s reasonable control, including natural disasters, government actions, internet or telecommunications failures, or failures of third-party service providers.

22. Changes to These Terms

Planz may update these Terms from time to time.

Updated versions will be posted on our website and take effect immediately upon posting.

Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms.

23. Governing Law

These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam.

Any dispute arising from these Terms will first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within a reasonable period, it will be submitted to the competent courts of Vietnam.

24. Severability

If any provision of these Terms is held to be invalid or unenforceable under applicable law, that provision will be removed and the remaining provisions of these Terms will remain in full force and effect.

25. Entire Agreement; Waiver; Assignment

These Terms, together with the Privacy Policy, the Refund Policy and any separate terms specific to individual plans referenced herein, constitute the entire agreement between you and Planz regarding the Services. Planz’s failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. You may not assign or transfer these Terms without Planz’s prior written consent; Planz may assign these Terms in the event of a merger, acquisition or sale of assets.

26. Language of These Terms

These Terms may be provided in both Vietnamese and English. In the event of any discrepancy or inconsistency between the two versions, the Vietnamese version will prevail, unless applicable law provides otherwise.

27. Notices

Planz may send notices to you by email, in-app messages, or by posting on our website. Notices to Planz should be sent to contact@planz.ai.
