Terms of Service

1. Acceptance of Terms

By accessing or using Planz, including our website, web application, mobile application, AI-powered services, landing page services, supplier marketplace, and related products (collectively, the “Services”), you agree to be bound by these Terms of Service (the “Terms”).

If you do not agree with these Terms, please do not access or use the Services.

 

2. Definitions

For the purposes of these Terms:

  • “Planz”, “we”, “us”, or “our” means Vitex Joint Stock Company and its Planz platform.
  • “User”, “you”, or “your” means any individual or organization that accesses or uses the Services.
  • “Content” means any text, image, data, document, or other material uploaded, submitted, or published through the Services, including event details, guest lists, landing pages, and tournament information.
  • “Key” means a unit of paid access purchased by a User, as described in Section 9 (Payments and Plans).
  • “Supplier” means a third-party vendor listed or discoverable through the Supplier Marketplace.

 

3. About Planz

Planz is an AI-assisted event planning platform that helps users plan, organize, manage, and execute events, including but not limited to:

  • Weddings
  • Corporate events
  • Conferences
  • Workshops
  • Community events
  • Private celebrations
  • Sports tournaments

Planz provides tools for event management, task management, budgeting, supplier discovery, landing page creation, AI assistance, and related services.

 

4. Eligibility

To use the Services, you must:

  • Be at least 15 years of age. If you are between 15 and 18 years of age, you may only use the Services under the supervision and consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.
  • Have the legal capacity to enter into a binding contract under applicable law, or have the consent of a parent or legal guardian where required.
  • Not be barred from using the Services under the laws of Vietnam or any other applicable jurisdiction.

If Planz becomes aware that a User under the age of 15, or a User between 15 and 18 who does not have appropriate parental/guardian consent, has created an account, Planz reserves the right to suspend or terminate that account.

 

5. User Accounts

To access certain features, you may be required to create an account.

You agree to:

  • Provide accurate and complete information.
  • Keep your login credentials secure.
  • Be responsible for all activities under your account.
  • Notify Planz immediately if unauthorized access is detected.

Planz reserves the right to suspend or terminate accounts that violate these Terms.

 

6. Acceptable Use

You agree not to:

  • Use the Services for unlawful purposes.
  • Upload malicious code, viruses, or harmful content.
  • Attempt to gain unauthorized access to the platform.
  • Interfere with the operation of the Services.
  • Misrepresent your identity or organization.
  • Use the platform to distribute spam or fraudulent content.

Planz may remove content or restrict access if such activities are detected.

 

7. AI Features

Planz provides AI-powered features to assist users in planning and managing events.

You acknowledge that:

  • AI-generated outputs are suggestions only.
  • AI responses may contain inaccuracies or incomplete information.
  • Users remain responsible for reviewing and validating all AI-generated content before use.
  • Planz does not guarantee the accuracy, completeness, or suitability of AI outputs.
  • Data you submit through AI features (such as event descriptions, guest information, or budget figures) may be processed by Planz’s AI service providers solely to generate the requested output, as further described in our Privacy Policy.

 

8. Landing Pages and Published Content

Users may create and publish event landing pages through Planz.

You are responsible for:

  • The content you publish.
  • Ensuring your content complies with applicable laws.
  • Obtaining any required permissions for images, trademarks, logos, and other materials.

Planz may remove content that violates these Terms or applicable laws.

 

9. Payments and Plans

Certain Services may require payment.

 

9.1 Event and Subscription Plans

Planz offers a free Basic plan and paid plans (Advanced, Enterprise) purchased in the form of Keys, as described on Planz’s Pricing page. Unless otherwise stated at the time of purchase, one Key grants access to manage one event under the corresponding plan’s features.

 

9.2 Tournament Registration Payments

Where Planz facilitates registration for sports tournaments or similar competitive events, registration is charged at a fixed rate per tournament as published on the relevant registration page at the time of purchase. Registration fees are processed and recorded as described in Planz’s internal payment records, and a payment confirmation will be made available to the registering User.

 

9.3 General Payment Terms

By purchasing paid features, you agree that:

  • Prices may change from time to time; changes will not retroactively affect Keys or registrations already purchased.
  • Payments are processed through third-party payment providers (including local payment gateways and, for international payments, Paddle acting as merchant of record).
  • Planz does not store full payment card information.
  • All purchases are subject to applicable taxes and fees.
  • If a payment fails or is reversed (e.g., chargeback), Planz may suspend access to the corresponding paid features until the matter is resolved.

 

9.4 No Refunds

All payments made to Planz, including purchases of Keys and tournament registration fees, are final and non-refundable, except where required by applicable law. By completing a purchase, you acknowledge that you are not entitled to a refund, credit, or exchange, regardless of whether you use the purchased Key, event, or registration in full, in part, or not at all.

 

10. Supplier Marketplace

Planz may provide access to supplier listings and recommendations.

Planz:

  • Does not guarantee supplier performance.
  • Is not a party to agreements between users and suppliers.
  • Is not responsible for disputes, delays, damages, or losses arising from supplier engagements.

Users should independently evaluate suppliers before entering into agreements.

 

11. Intellectual Property

All intellectual property rights related to Planz, including:

  • Software
  • Design
  • Logos
  • Trademarks
  • Content
  • AI systems

remain the exclusive property of Planz or its licensors.

You may not:

  • Copy
  • Modify
  • Reverse engineer
  • Distribute
  • Resell

any part of the Services without prior written permission.

 

12. User Content

You retain ownership of the content you submit to Planz.

By submitting content, you grant Planz a non-exclusive, worldwide, royalty-free license to:

  • Store
  • Process
  • Display
  • Reproduce

such content solely for the purpose of operating and improving the Services.

 

13. Copyright and IP Infringement Complaints

If you believe that content published through the Services (including a User’s event landing page) infringes your intellectual property rights, please send a written notice to contact@planz.ai including:

  • Identification of the material you claim is infringing, and its location on the Services.
  • Your contact information.
  • A statement that you have a good-faith belief that the use is not authorized.
  • A statement, made under penalty of perjury or its local equivalent, that the information in your notice is accurate.

Planz will review valid complaints and may remove or disable access to the reported content pending review.

 

14. Service Availability

Planz strives to provide reliable Services but does not guarantee uninterrupted availability.

The Services may be temporarily unavailable due to:

  • Maintenance
  • System upgrades
  • Technical issues
  • Circumstances beyond our control

 

15. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Planz does not warrant that the Services will be error-free, secure, or available at all times.

 

16. Limitation of Liability

To the maximum extent permitted by law, Planz shall not be liable for:

  • Indirect damages
  • Incidental damages
  • Consequential damages
  • Loss of profits
  • Loss of business opportunities
  • Loss of data

arising from the use of the Services.

To the extent permitted by applicable law, Planz’s total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the total amount actually paid by you to Planz.

Users use the Services at their own risk.

 

17. Indemnification

You agree to indemnify and hold Planz, its officers, employees, and affiliates harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your Content; or (c) your use of the Services in violation of applicable law or the rights of a third party.

 

18. Termination

Planz may suspend or terminate access to the Services if:

  • These Terms are violated.
  • Fraudulent activity is detected.
  • Required by law.

Users may stop using the Services at any time. Upon termination, any unused Keys or event registrations are non-refundable, in accordance with Section 9.4 (No Refunds).

 

19. Survival

Sections relating to Intellectual Property, User Content, Copyright and IP Infringement Complaints, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law shall survive termination of these Terms or your account.

 

20. Privacy

Your use of Planz is also governed by our Privacy Policy.

By using the Services, you acknowledge and agree to our Privacy Policy.

 

21. Force Majeure

Planz shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including natural disasters, acts of government, internet or telecommunications failures, or failures of third-party service providers.

 

22. Changes to These Terms

Planz may update these Terms from time to time.

Updated versions will be published on our website and become effective upon publication.

Continued use of the Services after updates constitutes acceptance of the revised Terms.

 

23. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Socialist Republic of Vietnam.

Any disputes arising from these Terms shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within a reasonable period, it shall be subject to the jurisdiction of the competent courts of Vietnam.

 

24. Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed, and the remaining provisions of these Terms shall remain in full force and effect.

 

25. Entire Agreement; Waiver; Assignment

These Terms, together with the Privacy Policy and any plan-specific terms referenced herein, constitute the entire agreement between you and Planz regarding the Services. Planz’s failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision. You may not assign or transfer these Terms without Planz’s prior written consent; Planz may assign these Terms in connection with a merger, acquisition, or sale of assets.

 

26. Language of These Terms

These Terms may be made available in both Vietnamese and English. In the event of any discrepancy or conflict between the two versions, the [Vietnamese / English – to be decided by Planz] version shall prevail, unless otherwise required by applicable law.

 

27. Notices

Planz may provide notices to you via email, through the application, or by posting on our website. Notices to Planz should be sent to contact@planz.ai.
